Paylocity buys AI recruiting-automation vendor Grayscale Labs for $50.2M — the engine behind its metered Recruiting Optimizer Actions

Paylocity pricing

Paylocity acquired Grayscale Labs, Inc. on 2026-04-06 for cash consideration of $50,240 thousand, described in its FY2026 10-K as 'an AI-powered recruiting automation company'. The capability shows up on the marketing site with no price attached, and in the contract as an allocation-plus-overage meter.

After

AI-powered recruiting automation inside the Talent suite. Contractually this surfaces as Recruiting Optimizer Actions — each automated screening, interview-scheduling, bulk candidate engagement or talent-rediscovery action counts as an Action against an allocation set in the Order, with Paylocity reserving the right to charge additional fees or restrict access above it.

Paylocity acquired Grayscale Labs, Inc. through a merger on 6 April 2026 for cash consideration of $50,240 thousand — about $50.2M — subject to working-capital adjustments, per Note 7 of its FY2026 Form 10-K. Preliminary purchase-price allocation: $35.8M goodwill, $11.6M proprietary technology and $3.2M client relationships. The 10-K describes Grayscale as “an AI-powered recruiting automation company” and says the deal “expands the Company’s recruiting capabilities with AI-powered automation to enable its clients to engage candidates earlier and move faster through time-sensitive hiring workflows.”

The reason this belongs in a pricing feed rather than only an M&A one: recruiting automation is the single Paylocity capability with a published per-action meter — just not a published rate. The Additional Service Terms define “Recruiting Optimizer Actions” and state that where the Order specifies an allocation, Paylocity “in its sole discretion, reserves the right to charge additional fees for Recruiting Optimizer Actions as set forth in [a separate ordering document]” or to restrict the feature once the allocation is exhausted. Recruiting Optimizer also requires an active Recruiting subscription plus a supported ATS integration.

Nothing about that meter appears on /products/capabilities/ai/, which shows no price, no tier gate and no add-on framing, or in the Ignite AI launch release of 21 July 2026, which contains no pricing statement of any kind. A buyer evaluating Paylocity’s AI has to read the contract to discover that the AI is metered at all.
